End User
License Agreement

Effective Date: April 1, 2026

This End User License Agreement (“Agreement”) is a legally binding agreement between you (“User,” “you,” or “your”) and Blue Butterfly (“Blue Butterfly,” “we,” “us,” or “our”).

By accessing or using Blue Butterfly’s software, website, platform, APIs, templates, or related services (collectively, the “Service”), you agree to be bound by this Agreement. If you do not agree, you may not access or use the Service.

Nature of the Service

Blue Butterfly provides a cloud-based software platform currently in beta. The Service may include project configuration tools, templates, user-generated content systems, integrations, and data storage features. You acknowledge:
  • The Service is provided for business and professional use.
  • The Service is currently in beta and may contain bugs, errors, interruptions, and incomplete features.
  • The Service may change, be modified, suspended, or discontinued at any time without notice.

Acceptance of Risk (Beta Disclaimer)

You expressly acknowledge that:
  • The Service is provided on a beta and experimental basis.
  • Data loss, corruption, system failure, or performance issues may occur.
  • Blue Butterfly makes no guarantees of uptime, availability, accuracy, or reliability.
  • You assume all risk associated with using the Service.

License Grant

Subject to compliance with this Agreement, Blue Butterfly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for lawful business purposes. You may not:
  • Reverse engineer, decompile, or attempt to extract source code.
  • Resell, sublicense, or redistribute the Service.
  • Use the Service to create a competing product.
  • Circumvent security features.

All rights not expressly granted are reserved.

User Responsibility

You are solely responsible for:
  • All data you upload, store, or transmit.
  • Maintaining independent backups of your data.
  • Compliance with all laws and regulations.
  • The actions of your users, employees, or contractors.

Blue Butterfly has no responsibility for data loss, corruption, deletion, or inability to access your data.

No Professional Advice

The Service does not provide engineering, geological, financial, legal, regulatory, compliance, or professional advice. You are solely responsible for verifying the accuracy and appropriateness of all outputs generated by the Service.

Fees and Future Billing

6.1 Beta Access

The Service is currently offered without charge. Blue Butterfly may begin charging fees at any time.

6.2 Future Subscription Model

If fees are introduced:

  • You agree to pay all applicable fees.
  • Fees may vary based on usage, users, storage, or services.
  • All payments are non-refundable unless required by law.
  • We may suspend or terminate accounts for non-payment.

6.3 Price Changes

We may modify pricing at any time with reasonable notice.

Account Security

You are responsible for:
  • Maintaining password confidentiality.
  • All activity under your account.
  • Promptly notifying us of unauthorized access.

Blue Butterfly is not liable for account misuse.

Intellectual Property

All intellectual property rights in the Service remain the exclusive property of Blue Butterfly. You retain ownership of your data. However, you grant Blue Butterfly a worldwide, royalty-free license to:
  • Host
  • Store
  • Process
  • Backup
  • Display
  • Modify (for technical purposes)
  • Analyze (in anonymized form)

for purposes of operating and improving the Service.

Data and Backups

You acknowledge:
  • Cloud systems are not guaranteed.
  • Backups may fail.
  • You must maintain independent backups.
  • Blue Butterfly has no obligation to restore lost data.

Third-Party Services

The Service may integrate with third-party platforms (e.g., GitHub, Supabase, cloud storage providers, APIs).

Blue Butterfly:

  • Does not control third parties.
  • Is not responsible for outages or data loss caused by them.
  • Makes no warranties regarding third-party services.

Your use of third-party services is at your own risk.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BLUE BUTTERFLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY
  • SECURITY

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE ERROR-FREE
  • DATA WILL NOT BE LOST
  • SECURITY BREACHES WILL NOT OCCUR
  • THE SERVICE WILL MEET YOUR REQUIREMENTS

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL BLUE BUTTERFLY BE LIABLE FOR:
  • LOST PROFITS
  • LOST DATA
  • BUSINESS INTERRUPTION
  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

REGARDLESS OF THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY). OUR TOTAL LIABILITY SHALL NOT EXCEED:

  • $100 USD, OR
  • THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM,

WHICHEVER IS GREATER. Some jurisdictions do not allow limitations; in such cases, liability is limited to the maximum allowed by law.

Indemnification

You agree to defend, indemnify, and hold harmless Blue Butterfly and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from:
  • Your use of the Service
  • Your data
  • Your violation of law
  • Your breach of this Agreement
  • Claims by your customers or end users

Termination

We may suspend or terminate access at any time, for any reason, including:
  • Violation of this Agreement
  • Non-payment
  • Security concerns
  • Business discontinuation

Upon termination:

  • Your license ends immediately.
  • We may delete your data without obligation to retain copies.

Force Majeure

Blue Butterfly is not liable for delays or failures due to causes beyond our reasonable control, including:
  • Internet outages
  • Cloud provider failures
  • Natural disasters
  • Government actions
  • Cyberattacks

Arbitration & Governing Law

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles. All disputes shall be resolved by binding arbitration in Travis County, Texas. You waive any right to:
  • Jury trial
  • Class action participation

Changes to Agreement

We may modify this Agreement at any time. Continued use after changes constitutes acceptance.

Entire Agreement

This Agreement constitutes the entire agreement between you and Blue Butterfly and supersedes prior agreements. If any provision is unenforceable, the remaining provisions remain in effect.
